1. Introduction and Acceptance

Welcome to a i c e, operated by POSHIS GLOBAL PRIVATE LIMITED (“Company”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website located at https://shopataice.com (the “Site”), and your purchase of products or services from us.

By accessing, browsing, registering on, or placing an order through the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Shipping Policy, and Refund and Returns Policy, each of which is incorporated into these Terms by reference. If you do not agree with any part of these Terms, please do not access or use the Site.

These Terms constitute an electronic record under the Information Technology Act, 2000 and the rules made thereunder, and do not require any physical or digital signature.

3. Eligibility and Account Registration

  • You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to place an order or create an account on the Site.
  • If you are under 18, you may use the Site only under the supervision of, and with a transaction made by, a parent or legal guardian who agrees to be bound by these Terms.
  • You agree to provide current, complete, and accurate registration, purchase, and account information, and to promptly update such information so that it remains accurate.
  • You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at contact@poshisglobal.com of any unauthorised use of your account.
  • We reserve the right to refuse service, suspend, or terminate accounts at our sole discretion, including where we reasonably believe an account is being used fraudulently or in breach of these Terms.

4. Products, Descriptions, and Availability

  • All products displayed on the Site are subject to availability, and we do not guarantee that any particular item will be in stock at the time of your order.
  • We make reasonable efforts to display product colours, dimensions, materials, and images accurately. However, actual appearance may vary due to your device’s display settings, photographic lighting, and natural variation in materials. Minor variation of this kind is not a defect.
  • We reserve the right to limit the quantity of products supplied per customer or per order, and to reject, modify, or cancel any order for any lawful reason, including suspected fraud, pricing or listing errors, or unavailability of stock.
  • Product descriptions, country of origin, expiry or best-before information (where applicable), warranty or guarantee terms, and any other statutory disclosures are provided on the relevant product listing page.

5. Pricing, Errors, and Taxes

  • Prices displayed on the Site are in Indian Rupees (INR) and are inclusive of applicable taxes unless expressly stated otherwise on the product or checkout page.
  • The total price payable, including a breakup of product price, delivery/shipping charges, and applicable taxes, will be displayed to you at checkout before you confirm payment.
  • Prices are subject to change without prior notice. The price applicable to your order is the price displayed at the time your order is confirmed.
  • In the event of an obvious pricing, typographical, or listing error, we reserve the right to cancel the affected order (whether or not payment has been taken) and issue a full refund. We will notify you promptly if this occurs.

6. Orders and Order Confirmation

  • Your submission of an order constitutes an offer to purchase. A binding contract is formed only when we dispatch the product and send you a dispatch confirmation.
  • An order acknowledgement email or on-screen confirmation does not, by itself, constitute acceptance of your order.
  • You may cancel an order before dispatch by contacting us at contact@poshisglobal.com. Cancellation after dispatch is governed by our Refund and Returns Policy.

7. Payment

  • Payment for all orders must be received in full and successfully authorised before products are dispatched.
  • We accept payment by credit card, debit card, and UPI. The specific payment options available to you will be displayed at checkout.
  • Payments are processed by third-party payment gateways and processors. We do not collect, store, or have access to your full card number, CVV, UPI PIN, or banking passwords. Such data is handled directly by the payment processor under its own terms and privacy policy and in accordance with applicable RBI and PCI-DSS requirements.
  • By submitting payment information, you represent and warrant that you are authorised to use the payment instrument concerned and that the information you provide is true and complete.
  • If a payment fails, is declined, or is later reversed or charged back, we may cancel the associated order and/or suspend your account pending resolution.
  • Refunds, where due, will be processed to the original payment method. Refund timelines are set out in our Refund and Returns Policy and are additionally subject to processing timelines of your bank or payment provider, which are outside our control.
  • We are not liable for losses arising from unauthorised access to or use of your payment credentials that occurs otherwise than as a result of our own failure to take reasonable security measures.

8. Shipping and Delivery

  • We endeavour to dispatch orders promptly. Estimated delivery timelines are indicative only and may vary based on delivery location, product availability, courier performance, weather, public holidays, and events beyond our reasonable control.
  • Shipping charges, where applicable, are displayed at checkout and may vary based on destination and the shipping method you select.
  • Title to and risk of loss in the products pass to you upon delivery of the products to the carrier for shipment. You may wish to inspect the package at the time of delivery and record proof of any visible damage.
  • We are not responsible for delays or failed deliveries caused by an incorrect, incomplete, or unreachable delivery address supplied by you, or by your unavailability to accept delivery.

9. Returns, Cancellations, and Refunds

  • Our Refund and Returns Policy applies to all purchases made through the Site and forms part of these Terms.
  • That policy sets out the return window, the condition in which products must be returned, non-returnable categories, the process for raising a return or replacement request, and applicable refund timelines.
  • Nothing in these Terms limits any right or remedy available to you as a consumer under the Consumer Protection Act, 2019 or other applicable Indian law.

10. Fair Trading and No Dark Patterns

We are committed to fair and transparent trading practices. In line with the Guidelines for Prevention and Regulation of Dark Patterns, 2023 issued by the Central Consumer Protection Authority, we undertake not to employ deceptive design practices including false urgency, basket sneaking, confirm-shaming, forced action, subscription traps, interface interference, bait and switch, drip pricing, disguised advertisements, nagging, or SaaS billing traps. If you believe any element of the Site is misleading, please report it to our Grievance Officer under Clause 19.

11. Acceptable Use and Prohibited Conduct

You agree not to use the Site for any unlawful purpose, and specifically not to:

  • Violate any applicable law, regulation, or third-party right, including intellectual property and privacy rights;
  • Submit false, misleading, or fraudulent information, or impersonate any person or entity;
  • Place fraudulent, speculative, or bad-faith orders, or engage in return fraud or abuse of promotional offers;
  • Upload or transmit any virus, worm, malicious code, or other harmful material;
  • Use any robot, spider, scraper, or other automated means to access, copy, monitor, or index any portion of the Site without our prior written permission;
  • Attempt to gain unauthorised access to the Site, its servers, or any account, or to probe, scan, or test the vulnerability of our systems;
  • Interfere with or circumvent any security feature, rate limit, or access restriction of the Site;
  • Resell, reproduce, duplicate, or exploit any portion of the Site or our products for commercial purposes without our express written consent;
  • Post or transmit content that is defamatory, obscene, harassing, hateful, threatening, invasive of privacy, or otherwise objectionable, or that is prohibited under Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

We may investigate any suspected breach of this Clause and may suspend or terminate your access, cancel orders, and report the matter to law enforcement.

12. User-Generated Content

  • You may be able to submit reviews, ratings, photographs, comments, testimonials, or other material to the Site or to our social media channels (“User Content”).
  • You retain ownership of your User Content. By submitting it, you grant us a worldwide, non-exclusive, royalty-free, sub-licensable, transferable licence to use, reproduce, adapt, publish, translate, display, and distribute that User Content in any media, in connection with the operation, marketing, and promotion of our business.
  • You represent and warrant that you own or have the necessary rights to the User Content you submit, that it is accurate and not misleading, and that it does not infringe any third-party right or violate any law.
  • You must not submit User Content in exchange for undisclosed consideration. Reviews must reflect your genuine experience.
  • We do not undertake to monitor User Content but reserve the right (without obligation) to review, edit, refuse, or remove any User Content at our sole discretion, including content we consider unlawful, offensive, spam, or in breach of these Terms.
  • To request removal of User Content or to report objectionable content, contact our Grievance Officer under Clause 19.

13. Intellectual Property

  • All content on the Site — including text, graphics, logos, brand names, trade marks, product designs, images, photographs, videos, audio clips, digital downloads, software, and data compilations — is the property of POSHIS GLOBAL PRIVATE LIMITED or its licensors and content suppliers, and is protected by Indian and international copyright, trade mark, and other intellectual property laws.
  • You are granted a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for personal, non-commercial purposes only. No right, title, or interest in any content is transferred to you.
  • You may not copy, reproduce, republish, upload, post, transmit, distribute, modify, reverse engineer, or create derivative works from any part of the Site without our prior written consent.
  • The marks “a i c e” and “POSHIS GLOBAL”, together with associated logos, may not be used in connection with any product or service without our prior written consent.
  • If you believe any content on the Site infringes your intellectual property rights, please write to our Grievance Officer with details of the alleged infringement and proof of your rights.

14. Third-Party Links, Services, and Content

The Site may contain links to, or integrations with, third-party websites, applications, payment gateways, logistics providers, analytics tools, and social media platforms. We do not control and are not responsible for the content, accuracy, availability, products, services, or privacy and security practices of any third party. Your dealings with third parties are solely between you and that third party, and you should review their terms and privacy policies before engaging with them.

15. Disclaimer of Warranties

Except as expressly stated in these Terms, and to the fullest extent permitted by applicable law, the Site and all products and services are provided on an “as is” and “as available” basis, without warranties or conditions of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site or its servers are free of viruses or other harmful components. Nothing in this Clause excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited, including consumer rights under the Consumer Protection Act, 2019.

16. Limitation of Liability

To the fullest extent permitted by law, POSHIS GLOBAL PRIVATE LIMITED, its directors, officers, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, business, goodwill, data, or anticipated savings, whether incurred directly or indirectly, arising out of or in connection with:

  1. your access to, use of, or inability to access or use the Site;
  2. any conduct or content of any third party on or accessed through the Site;
  3. any content or products obtained from or through the Site;
  4. unauthorised access to, use of, or alteration of your transmissions, content, or personal data occurring otherwise than as a result of our failure to take reasonable security measures; or
  5. delay, failure, or defect in delivery attributable to a carrier or other third party.

Subject to the paragraph below, our aggregate liability to you in respect of any claim arising out of or in connection with these Terms or any order shall not exceed the total amount actually paid by you for the specific product or order giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable Indian law, including under the Consumer Protection Act, 2019.

17. Indemnification

You agree to indemnify, defend, and hold harmless POSHIS GLOBAL PRIVATE LIMITED, its directors, officers, employees, affiliates, and agents from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms or any policy incorporated by reference; (b) your violation of any law or the rights of any third party; (c) your User Content; or (d) your fraudulent, negligent, or wilful misconduct.

18. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations where such failure or delay results from causes beyond our reasonable control, including acts of God, natural disasters, floods, fire, earthquake, epidemic or pandemic, war, terrorism, civil unrest, riot, strike, lockout or other labour dispute, government action, order or restriction, changes in law, failure of public infrastructure, internet or telecommunications outage, cyber-attack, courier or supply chain disruption, or shortage of raw materials. During such an event our obligations are suspended, and we will make reasonable efforts to notify you and resume performance as soon as practicable. If the event continues for more than 30 days, either party may cancel the affected order and we will refund amounts paid for undelivered products.

In compliance with the Consumer Protection (E-Commerce) Rules, 2020, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the Digital Personal Data Protection Act, 2023, we have appointed a Grievance Officer:

Our commitment:

  • We will acknowledge receipt of your complaint within 48 hours of receiving it.
  • We will redress your complaint within one (1) month from the date of receipt.
  • Where a complaint is not resolved to your satisfaction, we will provide reasons in writing.

If your grievance concerns your personal data and remains unresolved, you may escalate it to the Data Protection Board of India in accordance with the Digital Personal Data Protection Act, 2023. Consumer complaints may also be raised on the National Consumer Helpline (1915) or the INGRAM portal at https://consumerhelpline.gov.in.

20. Privacy and Data Protection

Your use of the Site is also governed by our Privacy Policy, which explains what personal data we collect, why we collect it, how we use and share it, how long we retain it, and the rights available to you as a Data Principal under the Digital Personal Data Protection Act, 2023. By using the Site you acknowledge that you have read the Privacy Policy.

21. Suspension and Termination

  • We may suspend or terminate your access to the Site or your account, in whole or in part, with or without notice, if you breach these Terms, if we suspect fraudulent or unlawful activity, or if required by law.
  • You may close your account at any time by contacting us at contact@poshisglobal.com. Closure of your account does not affect orders already placed or obligations already accrued.
  • Clauses that by their nature should survive termination — including Clauses 12 (User-Generated Content), 13 (Intellectual Property), 16 (Limitation of Liability), 17 (Indemnification), 22 (Governing Law and Dispute Resolution), and this Clause — shall survive.

22. Governing Law and Dispute Resolution

  • These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of India.
  • Amicable resolution: The parties shall first attempt to resolve any dispute amicably through the grievance mechanism in Clause 19 within 30 days of written notice of the dispute.
  • Arbitration: If not resolved amicably, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement of the parties. The seat and venue of arbitration shall be Bengaluru, Karnataka, India, and the language of arbitration shall be English. The arbitral award shall be final and binding.
  • Jurisdiction: Subject to the above, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction.
  • Consumer rights preserved: Nothing in this Clause prevents you, as a consumer, from approaching the appropriate Consumer Disputes Redressal Commission or any other forum available to you under the Consumer Protection Act, 2019.

23. General Provisions

  • Entire agreement: These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and us regarding the Site and supersede any prior agreements or understandings.
  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to exercise or enforce any right or provision shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in whole or in part, including in connection with a merger, acquisition, or sale of assets.
  • No agency: Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and us.
  • Headings: Headings are for convenience only and do not affect interpretation.
  • Language: These Terms are drafted in English. Any translation is provided for convenience only, and the English version prevails in the event of conflict.

24. Changes to These Terms

We reserve the right to update, change, or replace any part of these Terms at our sole discretion by posting the revised version on this page and updating the “Last Updated” date. Material changes will, where reasonably practicable, be notified to registered customers by email or by a prominent notice on the Site. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms. The version of the Terms in force at the time you place an order governs that order.
